Articles of Association of
China National Kennel Club (CNKC)
Chapter I General Provisions
China National Kennel Club (hereinafter referred to as ¡° CNKC ¡± ) is a national union of the kennel industry formed by the organizations engaged in the industry and relevant industries and the enthusiasts devoted to the breeding and raising of dogs. CNKC forbids those people who once abused, discarded or ate dogs to join the association.
The Ministry of Civil Affairs serves as the registration management department of CNKC, and the Ministry of Agriculture serves as its business management department. CNKC is also subordinate to the leadership and supervision of the China Animal Agriculture Association CAAA).
CNKC, playing a crucial role in the kennel industry with respect of management, service, coordination, self-discipline, supervision, legitimate right protection, consultation, and guidance, carries the mission to consolidate industrial resources, standardize industrial acts, promote industrial activities, safeguard industrial interests, and boost industrial development.
CNKC is located at Floor 4, Section B, No. 55 Nongzhan Beilu, Chaoyang District, Beijing .
Chapter II Business Scope
The business scope of CNKC is as follows:
Coordinate and promote the reform and development of national kennel industry; investigate and study the development trend of the industry and relevant industries both at home and abroad, and provide consultation and suggestions for the government to formulate industrial policies, laws and plans;
Disseminate, spread and popularize kennel knowledge, compile and publish magazines and books of the industry, and establish a web site to offer consultation and information services;
Work out a plan for the registration of pureblood dogs, and organize its implementation, and confer corresponding studbooks;
Assist the administrative management department of the industry in organizing the registration, certification and management of kennels, pet hospitals and grooming shops;
Draw professional training plans, and organize the occupational training, certification and assessment of beauticians, cynologists, dogherds, examiners, and veterinaries;
Organize the formulation of relevant standards and regulations for pureblood dogs and the industry;
Work out national kennel activity plans, organize national and international exhibitions, fairs, seminars, forums and other activities related to the industry, hold national and international dog competitions in various forms and levels, and commend outstanding members;
Recommend thoroughbred dogs, high-quality feed, medicines, vaccines, applicable items, appliances, information, accredited pet hospitals, grooming shops, kennels, clubs, etc.
Organize international exchange and cooperation, and join Asia Kennel Union (AKU) and the Federation Cynologique Internationale FCI) on behalf of the national kennel industry; establish a mechanism on exchanging international visits, introduce and learn overseas advanced technologies and standards and become compatible with international practices as soon as possible;
Respond to the departments concerned about members' requests, recommendations and suggestions so as to safeguard their legitimate rights and interests and coordinate relations between members;
Launch public service undertakings and other activities for the benefit of the Association; handle the tasks assigned by the Association.
Chapter III Members
CNKC is entitled to enlist members and collect membership fee within the scope authorized by the Association. The members accepted by CNKC shall be entitled to the membership of the Association. They can be divided into group members, individual members, and overseas honorary members.
Applicants for CNKC shall meet the following conditions:
Upholding the Articles of Association of CNKC;
Having the aspiration of participating in CNKC;
Having a certain national or regional influence in kennel industry or relevant industries; and
Being the enterprises or organizations engaged in kennel industry or relevant industries, and the enthusiasts for dog raising and kennel management.
The procedures for joining CNKC are as follows:
Filing an application for joining the association;
Obtaining approval from the council or executive council through discussion;
Issuing of membership card by the council or the institution authorized by the council; and
For a foreign applicant, he or she must fill out an application for joining the association, and become a honorary member of CNKC after being approved by the Association.
A member shall be entitled to the following rights:
Having the right to elect, be elected and vote in CNKC;
Participating in the activities of CNKC;
Having the preferential right for the services rendered by CNKC;
Having the right to ofter criticisms and suggestions for and exert supervision over the work of CNKC; and
Being free to join or withdraw from CNKC.
A member shall perform the following obligations:
Executing the resolutions of CNKC;
Safeguarding the legitimate rights and interests of CNKC;
Accomplishing the tasks assigned by CNKC;
Paying membership fee in accordance with the stipulations and in a timely manner; and
Reporting to CNKC and providing it with relevant information.
In the case of withdrawal from CNKC, a member shall notify CNKC in writing and return his or her membership card. Should a member fail to pay membership fee or fail to participate in the activities of CNKC for one year, he or she shall be deemed as having withdrawn from CNKC automatically.
In the event that a member breached the Articles of association seriously, his or her membership will be cancelled with the approval of the council or the executive council by voting.
Chapter IV Organizational Structure and Appointment and Dismissal of Persons in Charge
The highest authority of CNKC shall be the representative assembly of members. Its functions and powers are as follows:
Formulating and amending the Articles of Association;
Electing and dismissal of members of the council;
Reviewing the work report and financial report delivered by the council;
Deciding the matter of termination; and
Deciding other major matters.
Only with the presence of more than two-thirds of the members' representatives, can a representative assembly of members be held, and only with the approval of more than half of the members present at an assembly by voting, can resolutions proposed at the assembly be adopted.
The representative assembly of members shall be held quadrennially. In case of advancing or delaying the change due to office due to any particular reason, the approval of the council by voting and the approval of the Association are necessary. The postponement shall not exceed one year.
The council is the executive organ of the representative assembly of members it, shall be responsible for leading the daily work of CNKC when the assembly is not in session.
The council's functions and power are as follows:
Executing the resolutions of the representative assembly of members;
Electing and dismissal of the president, vice presidents and secretary-general;
Preparation for the conversing of the representative assembly of members;
Reporting the work and financial status to the representative assembly of members;
Formulating internal management systems; and
Deciding on other major matters.
Only with the presence of more than two-thirds of council members, can a council meeting be held, and only with the approval of more than two-thirds of the council members present at a meeting by voting, can resolutions proposed at the meeting be adopted.
Council meetings shall be held once a year, or be held by means of communications where appropriate.
CNKC shall set up an executive council, to which the members shall be elected by the council. When the council is not in session, the executive council, shall, exercise the functions and powers as specified in the Articles 17-1, 3, 5 and 6 and shall be liable to the council meeting.
Only with the presence of more than two-thirds of the executive council members, can an executive council meeting be held, and only with the approval of more than two-thirds of the executive council members present at a meeting by voting, can resolutions proposed at the meeting be adopted.
Executive council meetings shall be held twice a year, or be held by means of communications where appropriate.
The president, vice presidents and secretary-general shall meet the following conditions:
Adhering to the Party's lines, principles and policies, and having good political quality;
Having considerable influence in the kennel industry, being engaged in the production or management of the industry, or dog enthusiasts;
Being healthy, and capable to deal with the normal work;
With no records of criminal punishment, including deprivation of political rights; and
Having complete civil capacity.
CNKC may appoint a certain number of presidents and vice presidents where necessary.
The term of office for the president, vice presidents and secretary general is four years, and it can be renewed for a maximum of two terms.
The president of CNKC shall exercise the functions and powers as follows:
Calling on and presiding over council meetings (or executive council meetings);
Examining the implementation of the resolutions approved at the representative assembly of members and council meeting (or executive council meeting); and
Signing of relevant important documents on behalf of CNKC.
The secretary general of CNKC shall exercise the functions and powers as follows:
Leading the offices of CNKC to carry out daily work, and organizing the implementation of annual work plans;
Coordinating the work between each club and liaison department;
Nominating deputy secretary-generals for examination and approval by the council or the executive council; and
Employing functionaries and handling of other daily matters.
When necessary in work, CNKC shall set up single canine category clubs, various sports clubs and local liaison departments. And the relevant standards and management methods shall be formulated by the secretariat and examined by the executive council through discussion.
Chapter V Principles for Management and Use of Assets
Sources of CNKC's fund:
Membership fee;
Donations;
Corporate sponsorship;
Governmental subsidy;
Revenues generated from activities and services within the authorized business scope;
Interests; and
Other legitimate incomes.
The fund shall be used in the business scope stipulated in this Articles of Association, and in the development of the industry, and shall not be used in the distribution among members.
CNKC's finance is under the management of financial management department of the Association.
All assets of CNKC shall be owned by CNKC, and shall not be misappropriated or embezzled by any other organization or individual.
Chapter VI Procedures for Amendment of the Articles of Association
In the event of amendment of the Articles of Association, the approval of the council meeting by voting and the examination and approval of the representative assembly of members are necessary.
The amended Articles of Association of CNKC shall be approved by the Association within 15 days upon approval by the representative assembly of members.
Chapter VII Termination Procedures and Disposal of Property after Termination
After CNKC completes its mission, dissolves automatically, or needs to be cancelled for reasons of dividing or merging business, the council or the executive council shall propose the motion for termination.
The motion for termination shall be approved by the representative assembly of members by voting, and submitted to the authority for examination and approval after being examined and approved by the Association.
Prior to the termination of CNKC, a liquidation team shall be set up under the guidance of the Association. The liquidation team shall be responsible for clearing up creditor's right and debts and dealing with outstanding matters, and shall not involve in any activity unrelated to liquidation during the period of liquidation.
With the approval of the Association, the verification of the business management department and the registration management department for social organizations, CNKC can be terminated.
In accordance with the relevant regulations of the state, the remaining property of CNKC after liquidation shall be used to develop the business carrying the similar mission of CNKC, under the supervision of the business management authority and the registration management department for social organizations.
Chapter VIII Supplementary Provisions
The Articles of Association was adopted at the representative assembly of members on May 30, 2004.
The interpretation of the Articles of Association shall be vested with the council of CNKC.
The Articles of Association has been approved by the secretariat of the Association and shall come into effect on June 2, 2004.
